The first ten entrants who enroll 500 individuals as members of StudentOasis will each receive a $500 cash prize. NO PURCHASE NECESSARY. To enroll someone as a member, have that person complete a copy of the questionnaire located at the home page of the StudentOasis Web site at http://www.studentoasis.com (click on the word "Questionnaire") or distributed by a StudentOasis representative. INDIVIDUALS UNDER THE AGE OF 13 CANNOT QUALIFY AS MEMBERS OF STUDENTOASIS, AND SHOULD NOT BE ASKED TO COMPLETE QUESTIONNAIRES.

Questionnaires must be submitted to StudentOasis in groups of 100 (that is, an entrant can submit 5 sets of 100 questionnaires, or 1 set of 200 questionnaires and 1 set of 300 questionnaires, or 1 set of 500 questionnaires, and so on). StudentOasis will then verify each questionnaire for accuracy and confirm that the applicant is not a current member of StudentOasis. If both of these criteria are met, the questionnaire will count towards the 500 needed for the prize.

Verification: To verify the information on the questionnaire, StudentOasis will e-mail the applicant at the address provided on the questionnaire and ask for a verification of the name and address on the questionnaire and for one of the answers completed on the questionnaire.

Current Members: To determine whether an applicant is already a StudentOasis member, StudentOasis will search the list of members contained on its membership database at the time the questionnaire is received. If the applicant appears on StudentOasis' list, even if that applicant was added to the list as part of this Contest, the applicant will not count towards the 500 the entrant needs to qualify for a prize. QUESTIONNAIRES WILL BE ADDED TO THE STUDENTOASIS DATABASE IN THE ORDER IN WHICH THEY ARE ACTUALLY RECEIVED BY STUDENTOASIS.

If StudentOasis determines that a questionnaire does not meet both of these criteria, it will notify the entrant by e-mail of the deficiency within 30 days of its determination to enable the entrant to obtain a substitute member. Incomplete questionnaires and questionnaires that that do not comply with these Contest Rules (including questionnaires not submitted in multiples of 100) are void.

Contest Dates

The Contest will begin on August 16, 2000 and will run until there are ten verified winners of the prizes. At that time, StudentOasis will post on the home page of its Web site that all of the ten prizes have been awarded and that the Contest is over. In addition, StudentOasis will periodically provide updates on its Web site as to the number of prizes remaining.

Submission of Questionnaires

Questionnaires can be submitted to StudentOasis in one of two ways, by e-mail or by regular mail.

E-mail Entry: To enter the Contest via e-mail, attach the completed questionnaires to an e-mail containing the entrant's name, address, daytime telephone number, age and e-mail address, and send the e-mail and attachment to contest@studentoasis.com.

Mail-in Entry: To enter the Contest by mail, write the entrant's name, address, daytime telephone number, age and e-mail address (if any) on a 3" x 5" piece of paper, and mail this information, plus hard copies of the completed questionnaires, to Christen Villamor, StudentOasis.com, Inc., 410 West 53rd Street, Suite 618, New York, NY 10019.

An eligible entrant may use either entry method. StudentOasis will not be responsible for lost, misdirected, incorrect or inaccurate entries, including, but not limited to, those which are caused by technical malfunctions of any telephone network, computer equipment, software or any combination thereof, lost/delayed data transmission or human error.

Entrants should read the StudentOasis "Privacy Policy" which can be linked to from the home page of StudentOasis' Web site. By entering the Contest, the entrant agrees to be bound by it. By entering the Contest, each entrant may receive marketing materials, communications and other materials from StudentOasis. If an entrant decides that he or she would like to discontinue receiving promotional information from such third parties, please contact those third parties directly, or contact StudentOasis at privacy@studentoasis.com.

The Contest is open to all residents of the States of Arizona, California, Florida, Illinois, Massachusetts, New Jersey, New York, and Texas, 18 years of age or older at the time of entry and who meet the eligibility requirements and restrictions listed in these Rules. Only one entry per household is allowed. Only one entry per e-mail address is allowed.

The prize must be claimed within 10 days after notification or StudentOasis will award the prize to the next eligible entrant.

All membership questionnaires submitted for entry (including, without limitation, void questionnaires, incomplete questionnaires and duplicate questionnaires) become the property of StudentOasis. Without limiting the foregoing, by entering, each entrant will be deemed to have transferred and assigned to StudentOasis, its successors and assigns, absolutely and forever, any rights he or she may have (including intellectual property rights) in and to the completed questionnaires and irrevocably and unconditionally waives any and all rights in any jurisdiction in and to the questionnaires. Without limiting the foregoing, the entrant will have no right to use the information contained on the questionnaires for any purpose without the express written consent of StudentOasis.

VOID WHERE PROHIBITED BY LAW. All Federal, State, and local laws and regulations apply.

Employees, officers, directors, representatives, and agents of StudentOasis (and their immediate family members) are not eligible to win.

No substitution, transfer, gift, or sale of prizes permitted. All taxes are the sole responsibility of the winner.

Each prize winner must furnish StudentOasis with verification of age and residency and must execute an affidavit of eligibility, and a liability waiver and publicity release upon delivery of the prize as conditions to receiving the prize. Noncompliance may result in disqualification and the prize will be awarded to an alternate winner.

Contest rules are subject to change without notice. The decisions of StudentOasis are final in all matters relating to this Contest.

Although StudentOasis will attempt to notify each winner and deliver his or her prize as promptly as possible, notification and delivery are not guaranteed to be sooner than 30 days from the date of verification of each of the winner's 500 members. StudentOasis is not responsible for any computer, on-line, telephone, network, electronic, hardware, software, or technical malfunction of any kind, or misdirected computer transmissions which impede or inhibit a potential participant from entering the Contest. StudentOasis reserves the right to suspend or cancel the Contest if it becomes technically corrupted.

Any entries that have been tampered with, or that include false information are void and will be disqualified. Corporate entities are not eligible to enter or win the Contest. StudentOasis will not respond to any individual inquiries by any entrant during the Contest.

StudentOasis shall be the sole and final interpreter of these rules. As a condition of receiving the prize, each winner grants StudentOasis the right to use, without further compensation, his or her name, voice, likeness and/or hometown for promotional, advertising, or trade purposes, including appearance on a list of Contest winners, in any and all media. Failure to give such consent, or to cooperate in arranging such use, shall disqualify a entrant and another entrant will be selected as a winner, according to the rules of the Contest.
